FOR THE "HIDDEN FIST" MARTIAL ARTS FOUNDATION "GOOCH IKF" CLUB

CLUB/CHARITY CONSITUTION

 

  • NAME: This Charity and Club Names are as follows: “HIDDEN FIST” MARTIAL ARTS FOUNDATION GOOCH I.K.F CLUB We have been set up to provide service’s in martial arts studies for disabled performers and able bodied students in North Lincolnshire, Humberside and the East Yorkshire Regions.  We Re-present the following Clubs.

"Hidden Fist" (Scunthorpe) Self Defence Club.

"Hidden Fist" Kung Fu Club.

"Hidden Fist" Warriors Club .

 

Our Aim is to provide the following services:

 

  • Shaolin Kung Fu Training sessions

  • Multi Martial Arts Training sessions

  • Self-Defense Training sessions

  • Box Fit session for men and women

  • Kick Fit sessions for men and women

  • Free Sessions (once a month)

  • Support Services

  • Volunteer Opportunities

  • Training for Life Skills

  • Coaching Skills training

  • Full (Enhanced) CRB Checks (for all new students 18 and above)

  • For Disabled and able Bodied students from age of 3 years old up to the age of 95 years old.

 

NOTE: SCUNTHORPE ADAPTED KUNG FU (GOOCHIKF) & HULL HIDDEN FIST (GOOCHIKF) FUNDS ARE PUT INTO ONE ACCOUNT UNDER THE NAME OF SCUNTHORPE ADAPTED KUNG FU. FUNDS WHICH ARE RAISED THROUGH THESE TWO CLUBS RUNNING WILL BE PLACE INTO THE SAME MONEY POT AND DISTRUBUTED EQUALLY AT BOTH CLUBS FOR THE PROVISION OF ALL EQUIPMENT,HALL HIRE COSTS AND RUNNING COSTS OF BOTH CLUBS TO PROVIDED A EQUAL OPPORTUNITY FOR ALL  IN THE TWO AREAS THIS CLUB IS RUNNING ON A WEEKLY BASIS.  THIS WILL BE LOOKED AT DURING THE NEXT AGM  MEETING IN DECEMBER 2014. THE PURPOSES, AIMS & OBJECTIVES OF THIS GROUP

 

The Purposes this Club and its Foundation

 

  • TO PROVIDE TRAINING SESSIONS/GRADEING SYLLUBUS & BUDO COURSES FOR ALL STUDENTS STUDYING THE “GOOCH SYSTEMS” OF SHAOLIN KUNG FU,RYU KARATE, AIKDO –NIMBO – JUJITSUKAN & TAEKADA KARATE. WHO ARE EITHER : WHEELCHAIR USERS, SUFFER FROM OTHER TYPE OF DISSABILITY (PROVIDEING THEY ARE ABLE TO TRAIN WITH DOCTORS PERMISSION).THIS INCLUDES TRAINING ALONGSIDE A MIXED CLASS OF JUNIOR,SENIOR & INFANT STUDENTS WHO ARE BOTH ABLE BODIED AND STUDENTS WITH DISSABILITIES.

 

The Aims of these Clubs

 

  • TO RAISE FUNDS FOR THE CLUB THOUGH SPONSOR EVENTS AND DEMONSTRATIONS FOR EQUIPMENT NEEDED IN PURSUIT OF TRAINING WITHIN OUR CHOOSEN ARTSTO BE OPEN TO THE WHOLE COMMUNITY OF SCUNTHORPE & ORCHARD PARK ESTATE IN HULL AS WELL AS SURROUNDING AREAS.

  • TO BE RUN ENTIRLY ON AN AMATEUR & VOLUNTARY BASIS.

  • MEMBERSHIP IS OPEN TO ALL WITHOUT DISCRIMINATION (PROVIDING NO MEMBER HAS A CONVICTION AGAINST CHILDREN OF A SEXUAL MISCONDUCT MANNER, I.E MOLESTING,SEXUAL INTERFEREANCE ECT)

  • TO PROVIDE EVENTS WHICH ALL MEMBERS OF THER CLUB MENTIONED CAN PARTICPATE IN THROUGHOUT THE YEAR,’ON A YEARLY BASIS.

  • TO HAVE FACIL.ITIES WITHIN THE CLUB PREMISES SUITABLE FOR ALL MEMBERS.

  • TO HAVE ALL FEES SET AT A LEVEL THAT DOES NOT POST A SIGNIFICANT OBSTACLE TO INDIVDIDUAL MEMBERS.

     

The Objectives of these Clubs

 

  • TO PROVIDE A SUPPORT NETWORK FOR STUDENTS TRAINING AT EITHER CLUB.

  • TO PROVIDE & PROMOTE TEAMWORK WITHIN THE CLUB FOR STUDENTS.

  • TO HELP ALL INDIVIDUAL STUDENTS/ASSISTANT INSTRUCTORS/ CADET INSTRUCTORS &FULL INSTRUCTORS MEET & REACH THEIR OWN PERSONAL GOALS.

 

The Purposes of the Charity

 

  • TO RAISE FUNDS FOR THE CLUB THOUGH SPONSOR EVENTS AND DEMONSTRATIONS FOR EQUIPMENT NEEDED IN PURSUIT OF TRAINING WITHIN OUR CHOOSEN ARTS.

  • TO RAISE AWARENESS OF SERVICES OFFERED THROUGH UNIQUE MARKETING IDEAS, JOINT PARNTERSHIPS WITH LOCAL CHARITABLE ORGANISATION RUNNING WITH THE SIMILAR AGENDA’S, TO OUR OWN.

  • TO DEAL WITH ALL FINANCIAL MATTERS REGUARDING CLUBS HALL HIRE COSTS FOR CLASS SESSIONS, SEMINARS & DEMONSTRATION DAYS.

  • TO PROTECT & SAFEGUARD ALL EXISTING & NEW MEMBERS THROUGH OUR CLUB POLICIES, TRAINING AWARENESS COURSES,’ADULT TRAINING CLASSES & TEAM BUILDING SEMINARS.

  • TO PROVIDE UP TO DATE ACCOUNTS AS & WHEN REQUIRED FOR CLUB PURPOSES.

 

The Objectives of the Charity (and its Clubs)

 

  • TO PROVIDE SUPPORT SERVICES TO CLUB INSTRUCTORS, CADET INSTRUCTOR AND ASSISTANT INSTRUCTORS IN REGUARDS TO THEIR DUTIES OF MANTAINING CLUB SITES, EQUIPMENT & UNIFORMS.

  • TO SET SUITABLE CLUB SESSION FEE’S, CLUB MEMBERSHIP FEE’S & COSTS OF LICENCES AT A REASONABLE LEVEL. (I.E) TO SUIT LOW INCOME FAMILIES & INDIVIDUALS WISHING TO PARTICIPATE IN THIS SPORT.

  • TO SET RULES AND REGULATIONS ON HOW THESE CLUBS ARE TO BE RUN UNDER THE SUPERVISION OF CHIEF INSTRUCTOR MICHAEL GOOCH.

  • TO SET UP & PROVIDE A SUPPORT NETWORK VIA SUB COMMITTEE’S & TRUSTEE’S FOR THE CLUBS, CHIEF INSTRUCTOR,’FULL INSTRUCTORS,’SENIOR & JUNIOR ASSISTANT INSTRUCTORS,SENIOR CADET INSTRUCTORS & FULL INSTRUCTORS INVOLVED IN RUNNING THESE CLUBS FOR CHARITABLE PURPOSES.

 

THE POWERS OF THE GROUP

 

TRUSTEE’S

 

THIS CHARITY & IT’S CLUBS SHALL BE MANGED BY A PANEL OF TRUSTEE MEMBERS WHO HAVE BEEN APPOINTED AT THE 1ST ANNUAL GENERAL MEETING (AGM)

 

THE TRUSTEE’S JOBS INCLUDE THE FOLLOWING:

 

  • RAISEING FUNDS FOR CHARITABLE PURPOSES

  • INSPECTING ACCOUNTS FOR BOTH OF THE CLUBS

  • PROVIDING ADDITIONAL SUPPORT FOR THE CHIEF INSTRUCTOR

  • SETTING FEE’S FOR CLUB MEMBERSHIP

  • SETTING FEE’S FOR CLUB LICENCES

  • SETTING FEE’S FOR PRODUCTS SOLD BY THE CLUB TO RAISE FUNDS.

  • ORDERING/SUPPLY MARTIAL ARTS EQUIPMENT

  • ORDERING SUITS FOR STUDENTS

  • ESTABLISHING BUSSINESS LINKS FOR CLUB PURPOSES

  • FINDING SPONSORSHIP FOR CLUB

  • CO –OPERATING WITH OTHER CHARITIES WHO OFFER SIMILAR SERVICES TO OUR CLUB.

  • TO ELECT OWN COMMITTEE MEMBERS TO CARRY OUT CHARITY AND CLUB PURPOSES.

 

CARRYING OUT THE PURPOSES OF CHARITY

 

In order to carry out the clubs charitable purposes,’ the trustee’s have the power to do the following:

 

  • Raising Funds Through Sponsor Events

  • Receiving Grants for Club Purposes

  • Receiving Donations From Public

  • Applying for Funds to carry out the work of this Charity and Club only

  • To Co-operate with other Chairity’s and apply jointly for funds providing some of these funds are used for Club and Charitable purposes only.

  • To do anything which is Lawful and necessary to achieve the purposes of the Club and Chairty.

 

MEMBERSHIP

 

This Charity and its Club Shall have a membership which anyone deemed suitable by committee members already on the panel can put forward.  The following rules apply to everyone (Including committee members).

 

  • Anyone who is a Club member and 18 can apply to become a member of the Child protection panel, the vulnerable adults panel or the club committee.

  • To become a member of the Executive committee You must be voted in by 2 members of the executive committee.

  • The Club Insurance fee’s are set at £15 per Person per year.

  • The 1st years fee to Join the Club is £20 per student which Includes Licence for members.

  • In the 2nd year Licence fee is reduced to £10 per person.

  • In the 2nd year club membership will be£6 per student.

  • Every Year Insurance fee and membership fee must be paid in full, ‘otherwise students cannot train at training session run by the club.

  • The Chief Instructor has the right to remove a person’s membership rights if they believe it’s in the best interests of the club(s) they are attending or the charity.

  • Every Individual member has the right to be heard by a panel of trustee’s if they believe the Chief Instructor is incorrect in taking their membership rights away.

  • Any member who has been suspended by the Chief Instructor must wait 30 days to see a the panel of trustee’s and a further 28 days before a decision is made about their membership, they can be accompanied by a friend or family member when in front of the panel.

  • ALL and Old New members of this Club must be Insured before they can train full time.  All New members must be Insurance after (or before) 12 weeks of full time training.

 

MANAGEMENT

 

The Hidden Fist Organisation/Foundation will be administered by a Management Committee of no less than 3 members and upto a maximum of 5 members elected at the Annual General Meeting.

 

  • The Main Officers of the Management Committee shall be the Chairperson, the Secretary and the Treasurur.

  • All Decisions relating to Club matters will be made by a majority of Committee Members present and voting. In the case of a tie vote, the Chairperson will have the casting vote.

  • The Management Committee may appoint no more than 5 co-opted members. All co-opted members may serve until the next AGM when they may stand for re-election by the members of this committee (to the maximum of 10 members)

  • The Steering Committee will meet at least 3 times a year.

  • At least 2 members of the committee but no less 3 members of the committee must be present for a Management Committee to take place.(including 1 Official Club Officer)

  • No single member of the Management Committee, or anyone connected to them shall receive any payment (other than reimbursement of out of pocket expenses)

 

FINANCES

 

ALL Funds & revenues raised for this Organisation & Club belong to club. Members fee’s, subs & Club Membership pay for the running of clubs and pay for purchase of equipment and training tools used within the styles we teach.  No Single member is entitled to this money.

 

  • All Money raised through Sponsorship events are to benefit all students within the club(s) and will be used to further the aims and ideas of this Foundation.

  • The Founder of Organisation has setup a Bank account in the name of All funds will be placed in this account on a monthly basis.This money will be accessible via 2 committee members only.

  • Both members can sign to withdrawal funds from account.The Account is under the names:

  • However when this is not possible and only under special circumstances i.e. one of the above is unwell or to sick to sign for a cheque or payment 1 Signatore will be exceptable.

    NOTE:  (THIS PART OF THE CONSITUTION WAS RECENTLY AMENDED TO FIT LEGAL STANDARDS OF ALL FUND PROVIDERS IN THE AREA) SIGNED BY MLG  & ATB ON THE 01/10/2013 & WILL BE IMPLENTATED ON OR BEFORE THE 01/04/2014  BY THE MAIN SIGNATORES OF THIS ACCOUNT.      

     

  • Regular financial Reports/Statements are Available to all Committee Members or

    relevant parties on request. The Organisation/Association and Club Account will also be available for review at every AGM meeting.

  • All finances raised by club members and by other means (i.e. charity functions or

    donations made via public) shall be used for club(s) purposes only. 

  • All financial decisions are to be made by sub- club committee’s once all 5 clubs are up

    and running.

  • All Funds belonging to the Hidden Fist Martial Arts Foundation shall be used only to further the aims of Scunthorpe Adapted Kung Fu and Hidden Fist GOOCHIKF Scunthorpe & Hull Club(s).

     

ANNUAL GENERAL MEETINGS (AGM)

 

  • All (AGM) meeting will take place each year commencing from 2012. Or In the Following Month:

  • All (AGM) meetings must allow time for reading of minutes from preface AGM meeting

     (approx. 1 hour for each meeting) before going onto start of meeting and discussion of up to date matters regarding club policies  

     or changes in constitution.

  • All (AGM) meetings are for committee members and trustee’s only.

  • Only Club & Charity matters maybe discussed during these meetings.

  • All minutes must be noted during AGM meetings all notes or suggestions will be taken down by named person AMANDA HICKLING.

  • All AGM Meetings will take place at a location which is ideal for all members of committee to get to.

  • Member will be given 14 days noticed in advance before AGM Meeting is due to take place.

  • All Accounts/Financial Matters will be discussed at AGM meetings an Annual newsletter will be produced for all students & members each year.

  • All Committee members must commit to attending all AGM Meetings for 3 hours per meeting.

 

VOTING RIGHTS

 

  • All Members of this Committee Have a Right to Vote at ANY AGM meetings.

  • The Majority of votes shall carry a decision.

  • With acceptance to this rule if a vote of for and against is tied then the Chairperson of the meeting shall have deciding vote.

  • Any Member of Club and Public (Providing they are 18 and Over)  can be nominated to the committee providing firstly the nominee has consented and secondly two other members of committee are in agreement with nomination has a trustee or patron of the club.

 

SPECIAL GENERAL MEETINGS

 

The Management Committee may call a Special General Meeting at any time with 7 days notice given to all members.

 

THE QUORUM

 

The quorum for any general meeting will be 5 members or ¼ % of the membership at the time of the meeting, whichever is greater.

 

ALTERATIONS TO THE CONSITITUTION

 

Alterations to the Constitution of Hidden Fist Martial Arts can only be made at a General Meeting after a proposal has been circulated to all members with notification (as in clause 11.7) of the proposed change and the date, time and place of the meeting at which the proposed change in amendment will be discussed and voted on.   Alterations to this constitution will require approval of two thirds of members present and voting at the meeting.
 

WINDING UP

  • The Clubs Hidden Fist GOOCHIKF & Scunthorpe Adapted Kung Fu can be wound up at a Special General Meeting when it is called for that purpose.

  • The proposal to wind up Hidden Fist Foundation and its Club’s, must be advertised 14 days before the meeting.

  • The Decision to wind up will require the approval of two thirds of members present and voting at the meeting.

  • Surplus funds of Hidden Fist Foundation and its Clubs, if it is to be dissolved will be returned to the donor where possible.  When it is not possible any funds left over will be donated to an organisation with similar aims to our own, following the approval by two thirds of members present and voting at the meeting.

 

CONSITUTION ADOPTED

 

  • This Constitution was adopted and authorised by the following commitee members below.  These are selected senior club members of Hidden Fist Martial Arts Foundation and Scunthorpe Adapted Kung Fu Club.  It was Implemented on the 01/012/2012 at our first Annual General Meeting and remitted to our members on the opening of Hidden Fist GOOCHIKF in Hull at a meeting held on the 25/10/2013.
